These Terms & Conditions govern your access to and use of Hydi, including our website, landing pages, software, client portal experiences, subscriptions, content, and related services.
In these Terms:
- Hydi, we, us, and our mean Fitweb Pty Ltd
- Service means the Hydi website, software, and related services
- Business User means a person or entity that signs up for Hydi to manage client-facing tasks
- Client User means a person who accesses a Hydi-powered portal, magic link, upload flow, comment flow, or signature workflow
- Content means text, files, uploads, comments, forms, signatures, images, attachments, and other material submitted to or through the Service
- You means the person or entity using the Service
By accessing or using Hydi, you agree to these Terms and to our Privacy Policy.
1. Summary
Hydi is a client-facing task, reminder, document collection, and acknowledgement platform for small service businesses.
These Terms explain:
- who may use Hydi
- what you can and cannot do with the Service
- how subscriptions, billing, cancellation, and refunds work
- how we handle user content, moderation, and enforcement
- the limits of our liability
- how disputes are handled
If you do not agree to these Terms, do not use the Service.
2. Eligibility and Authority
You may use Hydi only if:
- you are at least 18 years old, or otherwise have legal capacity to enter a binding agreement
- you are using the Service for a lawful purpose
- if you act for a business or organisation, you have authority to bind that entity to these Terms
Hydi is intended for business use. If you are a Client User, your use of a Hydi-powered portal is authorised by the relevant Business User that invited or directed you to that portal.
3. Accounts and Access
3.1 Business User Accounts
Business Users may need to create an account to use certain parts of the Service. You must provide accurate information and keep it up to date.
You are responsible for:
- maintaining the confidentiality of your login credentials
- all activity under your account
- promptly notifying us of unauthorised access or suspected misuse
3.2 Client User Access
Client Users generally access Hydi through a magic link, invitation link, or similar mechanism supplied by a Business User.
A Client User must use that access only for its intended purpose. A Client User must not:
- share access links with unauthorised persons
- attempt to access data belonging to other people or businesses
- interfere with portal availability or security
3.3 Suspension of Access
We may suspend or restrict access where reasonably necessary to protect the Service, other users, our rights, or compliance obligations.
4. Acceptable Use
You must not use Hydi to:
- break the law or help others break the law
- harass, threaten, stalk, abuse, or defame another person
- impersonate a person or organisation
- upload malware, spyware, malicious code, or harmful files
- send spam, fraudulent, or deceptive messages
- scrape, probe, reverse engineer, or interfere with the Service except as permitted by law
- upload or transmit content you do not have the right to use
- collect or misuse another person's Personal Information without a lawful basis
- interfere with security features, rate limits, or access controls
- use Hydi in a way that could damage the Service, other users, or our reputation
We may investigate suspected misuse and take enforcement action under Section 10.
5. Business User Responsibilities
Business Users are responsible for:
- ensuring they have the right to submit, upload, send, or process any client or third-party information through Hydi
- providing any notices, consents, disclosures, or contractual terms required for their own business and regulatory context
- deciding what content is sent to Client Users
- ensuring uploaded files, task instructions, and acknowledgement text are accurate and lawful
- managing their staff access appropriately
- reviewing and responding to client submissions in accordance with their own obligations
Hydi provides workflow infrastructure. Hydi does not act as your law firm, compliance officer, or professional adviser.
6. Client User Responsibilities
Client Users may use a Hydi-powered portal only to interact with the requesting business.
Client Users must not:
- submit false, misleading, unlawful, or infringing content
- upload files containing malware or hidden malicious code
- impersonate another client or third party
- misuse a business's portal to send spam or unrelated material
- interfere with the normal use of the portal by others
7. User Content and Licences
You retain ownership of the Content you submit to Hydi, subject to the rights needed for us to operate the Service.
By submitting Content, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, transmit, display, process, and use that Content only as necessary to:
- provide and secure the Service
- perform backups and disaster recovery
- investigate misuse and enforce these Terms
- comply with legal obligations
- improve service reliability and support
You represent that you have all rights, permissions, and lawful bases needed to submit the Content.
8. Content Standards
All Content submitted through Hydi must be lawful and appropriate for the workflow for which it is used.
Prohibited Content includes:
- unlawful, fraudulent, or deceptive material
- content that infringes copyright, trade marks, privacy, confidentiality, or other rights
- harassment, hate speech, threats, or abusive material
- sexually exploitative content or child sexual abuse material
- malware, ransomware, spyware, or other harmful code
- material designed to mislead, phish, scam, or impersonate
- content that unlawfully discloses another person's Personal Information
If you believe content in Hydi violates these Terms or the law, contact support@hydiapp.com.
9. Moderation, Takedowns, and Appeals
Hydi may review reported or flagged content using automated signals, manual review, or both.
9.1 Possible Actions
Depending on severity, context, and repeat behaviour, we may:
- remove or disable access to content
- issue a warning
- require corrective action
- suspend an account, portal, or feature
- permanently terminate access
- report material to affected parties or law enforcement where required
9.2 Intellectual Property Complaints
If you believe content hosted through Hydi infringes your rights, send a notice to support@hydiapp.com with:
- your contact details
- identification of the work or rights allegedly infringed
- the location of the content
- a statement of your good-faith belief
- a statement that your notice is accurate and authorised
We may remove or restrict access while we review the complaint.
9.3 Appeals
A user subject to enforcement may appeal by contacting support@hydiapp.com within 14 days of the action notice.
An appeal should explain:
- the action being challenged
- why the user believes the action was incorrect
- any supporting information
We will review appeals in a reasonable time, usually within 14 business days.
10. Fees, Billing, Cancellation, and Refunds
10.1 Subscription Billing
Hydi may offer paid subscriptions. Prices, plan features, billing cycles, and trial terms are presented at checkout or on our pricing pages.
Billing is typically processed by Stripe or another payment processor. By purchasing a subscription, you authorise the applicable processor to charge your selected payment method.
10.2 Trials
If we offer a free trial, the trial converts or ends according to the terms shown at sign-up or checkout. We may change or withdraw trials at any time, subject to applicable law.
10.3 Cancellation
You may cancel a paid subscription at any time through the billing portal or by contacting us.
Unless we state otherwise at checkout or applicable law requires otherwise:
- cancellation stops future renewal charges
- cancellation does not normally generate a pro-rata refund for the current billing period
- access to paid features may continue until the end of the current paid period
10.4 Refunds
Hydi generally follows a statutory-minimum refund approach. This means:
- we will honour refund rights required by applicable law
- we may, but do not have to, offer a discretionary goodwill refund
- approved discretionary refunds are assessed case by case
You may request a refund by contacting support@hydiapp.com within 14 days of the charge and providing enough detail for us to review the request.
We aim to review refund requests within 10 business days.
Refunds will generally not be available where:
- the charge was valid and the Service was available as described
- the request relates only to a change of mind after substantial use
- a Business User failed to cancel before renewal
- the issue was caused by the user's own systems, network, or misuse
10.5 Consumer Rights
Nothing in these Terms excludes rights that cannot lawfully be excluded under applicable consumer law.
If you are a consumer in the EU, EEA, UK, or another jurisdiction with mandatory digital service withdrawal rights, additional rights may apply.
10.6 Chargebacks and Fraud
If a charge is disputed, reversed, or identified as potentially fraudulent, we may suspend affected access while we investigate.
11. Intellectual Property
Hydi and all related software, design, branding, interfaces, text, graphics, and service materials are owned by us or our licensors and are protected by applicable intellectual property laws.
Except as expressly allowed by these Terms, you must not:
- copy, modify, distribute, sell, lease, or sublicense the Service
- decompile, reverse engineer, or attempt to extract source code except where the law permits it
- use our name, marks, or branding without permission
12. Third-Party Services
Hydi may integrate with or rely on third-party services, including hosting, storage, communications, and payment providers.
We are not responsible for third-party services we do not control. Their use may be subject to separate terms and policies.
13. Availability and Changes
We may update, modify, suspend, or discontinue any part of Hydi at any time.
We do not guarantee that the Service will always be uninterrupted, secure, or error-free. We may perform maintenance, apply updates, or restrict access where reasonably necessary.
14. Disclaimers
To the maximum extent permitted by law, Hydi is provided on an "as is" and "as available" basis.
We do not guarantee that:
- the Service will meet every business, compliance, or regulatory requirement you may have
- content stored or transmitted through the Service will always be error-free
- the Service will be uninterrupted or free from delays, outages, or security incidents
Hydi provides workflow tooling only. Hydi does not provide legal, financial, tax, migration, lending, or other regulated professional advice.
15. Limitation of Liability
To the maximum extent permitted by law:
- we are not liable for indirect, incidental, special, consequential, exemplary, or punitive loss
- we are not liable for loss of profits, revenue, goodwill, data, or business opportunity
- our total liability arising out of or in connection with the Service will not exceed the greater of:
- the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or
- AUD $100
These limits do not apply where liability cannot lawfully be excluded or limited.
16. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Fitweb Pty Ltd, its officers, employees, and contractors from claims, losses, liabilities, and expenses arising from:
- your misuse of Hydi
- your breach of these Terms
- your Content
- your violation of another person's rights or applicable law
17. Termination
You may stop using Hydi at any time.
We may suspend or terminate access immediately if:
- you materially breach these Terms
- your use creates legal, security, or operational risk
- we are required to do so by law
- you fail to pay valid charges after any applicable grace period
Termination does not affect rights or obligations that by nature should survive termination, including payment obligations, IP provisions, disclaimers, liability limits, and dispute provisions.
18. Privacy
Our collection and handling of Personal Information is described in our Privacy Policy.
By using Hydi, you acknowledge that we may process Personal Information as described there.
19. Governing Law and Disputes
These Terms are governed by the laws of Victoria, Australia, excluding conflict of law rules.
You and we submit to the exclusive jurisdiction of the courts of Victoria, Australia, and any courts entitled to hear appeals from them.
Before filing a claim, each party agrees to first try to resolve the dispute by written notice sent to the other party.
20. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will update the "Last updated" date and take any additional notice steps required by law.
Your continued use of Hydi after an update takes effect means you accept the updated Terms, unless applicable law requires a different process.
